Terms of Service

Please read these Terms of Service carefully before using our services. By placing an order or using any Hotbox service you confirm that you have read, understood, and agree to be bound by these Terms.

1. General Provisions

These Terms of Service ("Terms") govern the contractual relationship between HOTBOX SPÓŁKA Z OGRANICZONĄ ODPOWIEDZIALNOŚCIĄ (KRS 0001036090, NIP 6751782437, ul. Marii i Bolesława Wysłouchów 13/LU1, 30-611 Kraków, Poland — hereinafter "Hotbox", "we", "us") and any natural or legal person ("Customer", "you") who purchases or uses Hotbox hosting services.

These Terms constitute a legally binding agreement under Polish law. For customers who are consumers (natural persons acting outside their professional or business activity), statutory consumer protections under Polish law apply in full and cannot be waived.

2. Services

Hotbox provides the following services:

  • Virtual Private Servers (VPS) — FreeBSD-based virtual machines with dedicated resources (CPU, RAM, SSD storage), root access, and network connectivity.
  • Managed Web Hosting — shared hosting environment with HestiaCP control panel, email hosting, domain management, and automated backups.

Detailed specifications and pricing for each service tier are published on our website at hotbox.fi. Service features and pricing may change; changes to existing subscriptions will be notified in accordance with Section 13.

3. Ordering and Contract Formation

Orders are placed exclusively through the Hotbox website (hotbox.fi). The ordering process is as follows:

  1. Select the desired service plan on the VPS or Web Hosting page.
  2. Add the plan to the cart and proceed to checkout.
  3. Provide your billing details, including company information and VAT ID if applicable.
  4. Review your order summary.
  5. Choose a payment method and complete payment.
  6. You will receive an order confirmation email at the address provided.

A binding contract is formed when Hotbox sends the order confirmation email. Hotbox reserves the right to refuse or cancel any order at its discretion, including where fraud or misuse is suspected, in which case any payment received will be refunded in full.

4. Pricing and Currency

All prices are published and invoiced in Euro (EUR). Prices shown on the website are exclusive of VAT unless otherwise indicated. Applicable VAT will be added at checkout in accordance with EU and Polish tax law.

Business customers from EU member states who provide a valid VAT ID may be eligible for intra-community supply treatment (reverse charge); this will be determined automatically at checkout based on the VAT ID provided.

5. Billing and Payment

5.1 Billing Cycle

Services are billed on a monthly cycle. The first invoice covers the period from service activation to the end of the current calendar month (pro-rated where applicable). Subsequent invoices are issued at the beginning of each calendar month for the upcoming billing period.

5.2 Payment Methods

  • Stripe — credit and debit cards (Visa, Mastercard, American Express). Card details are processed securely by Stripe, Inc. and are not stored by Hotbox.
  • PayPal — PayPal account payments processed by PayPal (Europe) S.à r.l. et Cie, S.C.A.

5.3 Late Payment

If an invoice remains unpaid for 7 days after the due date, Hotbox may suspend the service. If payment is not received within 30 days of the due date, Hotbox may terminate the service and permanently delete associated data. Hotbox will send at least one payment reminder before suspension.

6. Service Activation

Service provisioning is performed manually by our team. Services are typically activated within 24 to 48 hours following confirmation of payment clearance. Hotbox will notify the Customer by email once the service has been activated and credentials have been provided.

We do not guarantee activation within a specific time window, and activation delays do not entitle the Customer to a refund unless the delay exceeds 7 business days.

7. Right of Withdrawal (Consumer Customers Only)

Important notice for consumers: The following provisions apply exclusively to natural persons acting as consumers (i.e., outside any professional or business activity).

7.1 Statutory Right of Withdrawal

Under the Polish Consumer Rights Act (Ustawa z dnia 30 maja 2014 r. o prawach konsumenta, Dz.U. 2014 poz. 827, as amended), consumer customers have the right to withdraw from a distance contract within 14 calendar days without giving any reason. The withdrawal period begins on the day the contract is concluded.

To exercise this right, you must submit a clear statement of withdrawal to: [email protected] or by post to our registered address before the 14-day period expires. You may use the model withdrawal form provided in Annex 2 to the Consumer Rights Act, but this is not obligatory.

7.2 Waiver of Right of Withdrawal for Digital Services

If you explicitly request that service provisioning begin before the 14-day withdrawal period expires — which you are asked to confirm at checkout — you acknowledge that you will lose the right of withdrawal once the service has been fully provided. This is in accordance with Art. 38(13) of the Consumer Rights Act.

If the service has not yet been activated at the time of withdrawal, a full refund will be issued within 14 days.

7.3 Business Customers

Customers purchasing services for business purposes do not benefit from the statutory 14-day withdrawal right. Refunds for business customers are governed by Section 8 below.

8. Refund Policy

Outside the consumer withdrawal period, Hotbox does not offer refunds for unused portions of a billing period once a service is active. Exceptions may be granted at Hotbox's sole discretion in cases of documented service failure attributable to Hotbox that has not been remedied within the timelines defined in the SLA.

9. Customer Obligations

As a Customer, you agree to:

  • Provide accurate and complete registration and billing information and keep it up to date.
  • Keep your account credentials confidential and notify Hotbox immediately of any suspected unauthorised access.
  • Use Hotbox services in compliance with all applicable laws and regulations.
  • Comply with the Acceptable Use Policy (AUP), which is incorporated into these Terms by reference.
  • Not resell or sublicense Hotbox services without prior written consent.
  • Pay all invoices by their due dates.

10. Acceptable Use

The use of Hotbox services is subject to the Acceptable Use Policy. The AUP sets out prohibited activities including, but not limited to: spam, distribution of malware, phishing, illegal content hosting, DDoS origination, and unauthorised cryptocurrency mining. Breach of the AUP may result in immediate suspension or termination of services.

11. Service Level Agreement

Hotbox commits to the uptime and performance standards described in the Service Level Agreement (SLA). The SLA forms part of these Terms and defines the remedies available to customers in the event of service unavailability.

12. Intellectual Property

All intellectual property rights in the Hotbox website, software, brand materials, and documentation remain the exclusive property of Hotbox or its licensors. Nothing in these Terms transfers any such rights to the Customer.

Customers retain full ownership of all data, content, and software they upload or deploy on Hotbox infrastructure. Hotbox claims no intellectual property rights over Customer content.

13. Liability Limitation

To the maximum extent permitted by applicable law:

  • Hotbox's total aggregate liability to a Customer for any claim arising under or in connection with these Terms shall not exceed the total fees paid by the Customer in the three (3) months immediately preceding the event giving rise to the claim.
  • Hotbox shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, even if advised of the possibility of such damages.
  • Hotbox shall not be liable for service failures caused by: force majeure events, actions or omissions of the Customer, third-party network outages, DDoS attacks beyond Hotbox's mitigation capacity, or scheduled maintenance announced in advance.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited under applicable Polish law.

Consumer customers are reminded that the above limitations do not affect their statutory rights under Polish consumer protection law.

14. Account Termination

14.1 Termination by the Customer

You may terminate your services at any time by providing at least 30 days' written notice to [email protected]. Services remain active and billable through the end of the current billing period. No pro-rated refund is issued for unused days within a paid billing period, unless the Consumer withdrawal right applies under Section 7.

14.2 Termination by Hotbox

Hotbox may terminate services with 30 days' notice for any reason. Hotbox may terminate services immediately and without notice in cases of:

  • Serious or repeated breach of these Terms or the AUP
  • Non-payment of invoices overdue by more than 30 days
  • Activity causing harm to the Hotbox network or other customers
  • Legal requirements or court orders

In the event of immediate termination due to breach, no refund will be issued for prepaid periods.

14.3 Data Retrieval After Termination

Upon termination, Customers have 7 days to retrieve their data. After this period, all Customer data will be permanently deleted. Hotbox provides no backup service unless a backup plan is explicitly included in the Customer's service.

Complaints regarding billing, service quality, or these Terms should be submitted in writing to [email protected] or by post to our registered address. We will acknowledge complaints within 3 business days and provide a substantive response within 14 business days.

Consumer customers in the EU may also use the European Commission's Online Dispute Resolution (ODR) platform: ec.europa.eu/consumers/odr. Our email for ODR purposes: [email protected].

16. Changes to These Terms

Hotbox may update these Terms at any time. For existing customers, changes take effect 30 days after notification by email. If you do not accept the changes, you may terminate your services before the changes take effect and receive a pro-rated refund for the unused portion of any prepaid period.

Continued use of services after the effective date constitutes acceptance of the revised Terms.

17. Governing Law and Jurisdiction

These Terms are governed by and shall be construed in accordance with Polish law, in particular the Polish Civil Code (Kodeks cywilny), the Consumer Rights Act (Ustawa o prawach konsumenta), and applicable EU regulations.

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Kraków, Poland.

Consumer customers may bring proceedings before the courts of their place of domicile within the EU, or seek out-of-court resolution through the Polish consumer arbitration authority (Inspekcja Handlowa).

18. Miscellaneous

  • Entire Agreement: These Terms, together with the AUP and SLA, constitute the entire agreement between Hotbox and the Customer regarding the services and supersede all prior discussions.
  • Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full force and effect.
  • Waiver: Failure to enforce any provision of these Terms shall not constitute a waiver of the right to enforce that provision in the future.
  • Assignment: Customers may not assign their rights or obligations under these Terms without Hotbox's prior written consent. Hotbox may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Language: These Terms are available in English and Polish. In case of discrepancy, the Polish version shall prevail for consumer customers; for business customers, the English version shall prevail unless otherwise agreed in writing.
